Abstract

Merger, acquisitions, and restructuring of large corporations have increased dramatically in the United S tates, but uncertainty and speculation raise doubts over welfare effe cts. Strong bank influence might control management, but efficiency g ains in West Germany are not obvious. Unions and corporate management in the West have generally maintained Taylorist work organization an d other rigidities. Japanese organization and decentralized bargainin g enhance flexibility, human capital, and employees' equity stakes, w ith distributional and efficiency benefits. European codetermination has reduced overt conflict, but related centralized bargaining blocks new entry, organizational innovation, and job creation to protect ex isting rents of incumbent labor and management.
